Terms of Service

1. Acceptance of Terms

By accessing or using OloLand ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

OloLand provides acquisition workflow and decision-support tools, including document analysis, financial modeling, scenario analysis, evidence tracking, and risk assessment capabilities. The iOS Scout feature, when enabled for your account, uses Google Maps Platform (Places) to resolve a business from a location or name you submit on an explicit action (Near Me, Search, or Scan). Scout does not collect location in the background. Cards are public-signal summaries with named sources; they are not valuations or advice.

3. User Accounts

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

4. Acceptable Use

You agree not to:

• Violate any applicable laws or regulations
• Upload malicious content or attempt to breach security
• Interfere with or disrupt the Service
• Share your account with unauthorized users
• Resell or redistribute the Service without authorization

5. Intellectual Property

The Service and its original content, features, and functionality are owned by ololand.ai Inc. and are protected by international copyright, trademark, and other intellectual property laws.

6. Your Content

You retain ownership of all content you upload to the Service. By uploading content, you grant us a limited license to process and analyze it solely for the purpose of providing the Service to you. We do not use your content to train our AI models.

7. Payment Terms

Paid subscriptions are billed in advance on a monthly or annual basis. Refunds are handled on a case-by-case basis. You may cancel your subscription at any time.

7a. Forensic Reports — Scope and Reliance

This section applies to the Pre-LOI Forensic Screen and Full QoE reports (each, a "Report") generated on the platform. A Report is an analytical screening produced by OloLand's deterministic financial engines and generated on request for the subscribing workspace. It is not an audit, attestation, fairness opinion, or opinion of value, and is not a substitute for a Quality of Earnings engagement performed by a licensed accounting firm. A Report is prepared solely for the generating account for informational purposes; no other person or entity may rely on it. OloLand's aggregate liability arising from a Report is capped at the fees paid for the subscription under which it was generated. Findings are limited by the completeness and accuracy of the documents provided to us.

7b. iOS Scout and Google Maps Platform

When you use Scout, OloLand sends the coordinates or business name you just submitted to Google Maps Platform / Places to identify nearby or named businesses. That happens only on an explicit tap — never in the background. If you Watch a result, OloLand stores the precise coordinates, accuracy, capture time, and your authenticated user ID in your company's shared sourcing ledger for provenance, security, and audit purposes. Optional storefront photos are analyzed transiently with Google Gemini on Vertex AI to identify the business and are not retained after analysis. Account deletion unlinks Scout capture rows from your user ID and clears stored coordinates, accuracy, and location source; the capture record itself remains on the workspace until that company is deleted. Archiving a watchlist does not delete those rows. Company deletion cascades Scout captures and related ledger rows.

Scout's place search is delivered through Google Maps Platform. Your use of Scout is therefore also subject to the Google Maps Platform Terms of Service, which are incorporated into these Terms by reference for that feature. Google's own handling of the data Scout sends is governed by the Google Privacy Policy.

7c. Judgment Traces — Scope & Reliance

This section applies to judgment traces: the in-product records that link an analysis's facts, assumptions, hypotheses, tests, and verdicts to the sources and deterministic engine runs behind them (each, a "Judgment Trace"). A Judgment Trace is an analytical working surface, not a deliverable. System-generated verdicts within a Judgment Trace are proposals only until a member of your deal team confirms them; unconfirmed items are displayed as pending and do not change gate status. A Judgment Trace is not an audit, attestation, fairness opinion, or opinion of value, and does not constitute investment, legal, accounting, or tax advice. Judgment Traces are prepared solely for the subscribing account's internal evaluation of its own transactions; no other person or entity may rely on them. Where a cited fact cannot be resolved to a document you provided, it is marked as pending resolution and recorded against an explicit assumption on the deal's assumption ledger rather than treated as an established fact, and findings are limited by the completeness and accuracy of the documents provided to us. OloLand's aggregate liability arising from a Judgment Trace is governed by Section 8 (Limitation of Liability).

8. Limitation of Liability

The Service is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.

9. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes via email or through the Service.
